YOVERSE INC. (“Global YO”, “we”, “us”), a subsidiary of Yonder Media Mobile Inc., in collaboration with Bancus (the financial-services partner that operates the Bancus platform), makes available to eligible Users an optional functionality to redeem YOYO$ loyalty points through the Bancus platform. These Supplemental Terms govern that functionality and form part of, and are read together with, the Global YO Terms & Conditions and Privacy Policy. Where these Supplemental Terms conflict with the general Global YO Terms & Conditions on a matter concerning the redemption functionality, these Supplemental Terms prevail.
Use of the functionality is optional. If a User does not wish to redeem YOYO$ through Bancus, the User may keep their YOYO$ within the Global YO ecosystem under the general rules of the Global YO loyalty program.
The collaboration with Bancus does not mean that Global YO issues cards, manages balances, provides financial services, performs identity verification (KYC), processes card payments, holds User funds, or controls the User’s account on the Bancus platform. Those services are operated by Bancus and/or the third parties related to Bancus, under their own terms, policies, authorizations and applicable rules.
The functionality lets eligible Global YO Users move YOYO$ into an operational flow connected to the Bancus platform. Through it, a User may transfer YOYO$ from the Global YO application to a wallet the User creates on the Bancus platform and, afterwards, request within the Bancus environment that those YOYO$ be converted into the applicable promotional value loaded onto a Visa card administered by Bancus. The process has two stages:
A redemption is considered complete only when the YOYO$ have been converted within the Bancus environment and the corresponding value is reflected on the User’s Visa card. If the value is not visible on the card, the operation is pending, under review, or subject to additional validation.
YOYO$ are promotional loyalty points granted within the Global YO digital ecosystem to encourage participation, retention and activity. YOYO$ are not legal tender, electronic money, a stored-value instrument, a financial product, a virtual asset, a crypto-asset, an investment, credit, or any kind of financial instrument. YOYO$ must not be interpreted at any time as money, a bank balance, currency, a tradable digital asset, or an automatic right of collection against Global YO.
YOYO$ have no monetary value of their own outside the Global YO ecosystem. Any value shown to a User in connection with a redemption is only an estimated promotional value, subject to validations, availability, operational limits, third-party fees, Bancus rules, and the conditions applicable at the time of the operation. It is not a guaranteed conversion rate.
Global YO operates the YOYO$ loyalty program, the accrual of points, User eligibility to receive YOYO$, and the initial redemption interface within the Global YO platform, including the display of the YOYO$ balance. Global YO’s responsibility is limited to the operation of the YOYO$ program within its own ecosystem.
Bancus is the allied financial-services provider responsible for the User-facing experience on its platform, including the wallet, card, balance, identity verification (KYC), conversion, processing of the User’s movements, and related services operated within the Bancus platform. The Visa card assigned to each User is provided through a third-party entity that offers BIN sponsorship to Bancus, under that entity’s authorizations, terms, limits and rules.
Global YO does not act as a bank, financial institution, money transmitter, card issuer, electronic-money institution, custodian of virtual assets, financial intermediary, or provider of financial services. The User’s relationship for the financial side of the product (wallet, card, balances, transactions, disputes) is with Bancus.
To use the functionality, a User must meet all of the following before redemption is available:
Qualifying purchases include eSIM data plans, YO SHOUT credits, and, when available, VPN subscriptions, travel bookings and travel insurance. If the most recent qualifying purchase falls outside the six-month window, redemption eligibility is paused and restores automatically upon the next qualifying purchase; lifetime purchase count and spend are preserved.
Meeting the eligibility criteria does not guarantee that a redemption will be approved, processed or completed. Each request is subject to validation by Global YO, Bancus, and participating third parties. Users who are suspended, blocked, inactive, canceled, or who show account irregularities or operational inconsistencies may not redeem YOYO$.
The redemption functionality is available only to Users who are 18 years of age or older. This requirement applies notwithstanding any lower age threshold in the general Global YO Terms & Conditions. Identity verification and card issuance are performed by Bancus and are subject to Bancus’s own age and eligibility requirements.
The redemption functionality is available only to eligible Global YO Users located in jurisdictions expressly approved by Global YO and Bancus. It is not available to users, territories, brands or platforms that have not been expressly authorized. The fact that the Visa card may be usable at merchants that accept the Visa network does not mean that the YOYO$ program or the redemption functionality is available, authorized or enabled in any given country or jurisdiction.
The functionality is not available to, and may not be used by, any person or in any territory subject to applicable sanctions, embargoes or comparable restrictions, or where the offering of the functionality, the wallet, or the card would be unlawful. The User is responsible for ensuring that their use of the functionality complies with the laws applicable to them. Global YO and Bancus may decline, restrict, suspend or withdraw the functionality, in whole or in part, for any User, territory or transaction, for legal, tax, regulatory, sanctions, operational, technical or commercial reasons.
The functionality is available only to eligible Users in jurisdictions where Global YO has made it available and where its use is lawful. It is not available to any person, or in any territory, subject to applicable sanctions, embargoes or comparable restrictions, or where it would be unlawful. Global YO may add or remove eligible jurisdictions at any time.
To use the functionality, the User must download the Bancus application, create an account, and complete Bancus’s registration and identity-verification (KYC) process. Once the account is created, the User must create a YOYO$ wallet within Bancus, copy the wallet address or corresponding QR code, and link it within the Global YO platform. The User is responsible for verifying that the wallet address or QR code is correct and corresponds to the User’s own Bancus account. Global YO is not responsible for errors arising from incorrect information provided by the User.
Each Bancus wallet may be linked only once, to a single Global YO account; a wallet cannot be associated with two or more Global YO accounts. To change a linked wallet, the User must contact Global YO support to begin a manual re-linking process, in which Global YO may request information and does not guarantee that the change will be approved, as it depends on factors external to Global YO.
When a User requests to move YOYO$ from the Bancus wallet onto the Visa card, Bancus processes the applicable conversion and draws the corresponding equivalent value from the Global YO operational fund, under the operating rules, limits, validations, fees and conditions in effect. The existence of the fund does not grant the User any right over it, nor does it constitute a deposit, individual account, investment, bank balance, asset guarantee, or any direct right of the User over the fund. Availability of conversion depends on the existence of a balance in the fund, security validations, Bancus controls, and operational availability.
Redemption requests and status
The User may request redemptions from the Global YO platform by entering the amount of YOYO$ to redeem. The User may view the status of a requested redemption in the Global YO platform as one of: Pending (request received and under review); Approved; Rejected; or Failed. While Pending, the YOYO$ may be reserved and unavailable for new redemptions until the request is resolved. If the request is rejected or fails before completion, the reserved YOYO$ are returned to the User’s YOYO$ balance.
Limits and review
A minimum per-redemption amount applies (currently 1,000 YOYO$), and per-transfer and periodic maximum limits apply. Redemptions up to the applicable operational limits may be processed under the ordinary validation flow; redemptions above those limits, or that meet other risk criteria, are not processed automatically and are subject to additional review and authorization, which may result in approval or rejection. Global YO may set, apply and change these limits and review criteria at its discretion, for operational, commercial, technical, security, fund-availability or fraud-prevention reasons. The current minimum and any applicable limits are made available to the User within the application. Meeting the minimum or a limit does not guarantee approval, processing or crediting of a redemption.
Completion and irreversibility
A redemption is complete only when the YOYO$ have been converted within the Bancus environment and the corresponding value is reflected on the User’s Visa card. Once complete, the operation is final and cannot be reversed; the User cannot convert the amount back into YOYO$. After the value is credited to the card, the User must manage any matter relating to that balance, movements, charges, blocks, payments or transactions directly with Bancus. Global YO does not guarantee buy-backs, refunds, re-conversions, cancellations or recovery of YOYO$ once a redemption has been processed successfully, except in the case of a demonstrable technical error, duplication, or operational incident attributable to Global YO or Bancus.
The Visa card associated with the functionality is denominated in US dollars (USD), unless Bancus, the issuing entity or the BIN sponsor establishes otherwise. When the User spends the card at a merchant in a currency other than USD, the Visa network applies its own cross-currency exchange to convert USD into the merchant’s local currency at the time of purchase, at a rate set by Visa at that moment. This rate is not set or controlled by Global YO or Bancus, and the local-currency amount charged may differ from the User’s expectation.
The card may be used at merchants that accept the Visa payment network. The issuance, activation, administration, operation, availability, costs, replacements, blocks, limits, balances, validations and conditions of use of the Visa card are determined and administered exclusively by Bancus and/or participating third parties. Global YO does not control or administer authorizations, declines, charges, blocks, movements, balances, PINs, replacements, fees, transactions or any other operational element of the Visa card.
Digital card
The Bancus digital card has no issuance cost for Users. To enable the digital card within the Bancus platform, a minimum balance of US$10 (or its equivalent) must be held in the User’s wallet. These references are used only as an operational parameter to determine the minimum value needed to enable the digital card, and do not imply that YOYO$ constitute money, currency, a financial asset, a virtual asset, a crypto-asset or an investment instrument. Bancus may change the required minimum balance, the equivalence criteria, the accepted reference units, or the availability of the digital card.
Physical card
Bancus offers physical cards subject to cost, under the conditions in effect on its platform. Requests, issuance, activation, shipping, replacement, use, cancellation, fees and other conditions applicable to physical cards are determined and administered directly by Bancus. Global YO does not set, charge, administer or control the costs or conditions of physical cards.
The value shown to the User within the Global YO platform, and where applicable within the Bancus platform, is promotional, estimated and for reference only, and may vary according to the conditions in effect when the User requests the redemption. Any value shown before a redemption is confirmed is informational and does not oblige Global YO or Bancus to maintain the same equivalence in future operations.
The final amount, if any, reflected on the User’s Visa card balance depends on the prevailing promotional ratio, the equivalence criteria used by Bancus, the applicable processing fee, any commissions or rounding, fund availability, and any rejection, failure or delay. Three sequential conversions may apply on the path from a YOYO$ balance to spendable value at a merchant:
Before confirming a redemption, the User should carefully review the estimated value shown in the Global YO platform. The estimated value shown already reflects the Global YO promotional ratio; the Bancus processing fee, the YOYO$-to-USD conversion, and the Visa cross-currency exchange occur downstream and are communicated as Bancus-side or merchant-side mechanics.
Global YO does not charge the User any fee for using the redemption functionality. Bancus may apply charges, commissions, processing fees, issuance costs, operational costs or any other charge related to the services it administers. Bancus applies a processing fee of 4% on the movement of balance from the wallet to the digital Visa card. That fee is determined, applied and administered exclusively by Bancus; Global YO does not intervene in its calculation or collection. The digital card has no issuance cost, but enabling it is subject to the minimum balance required by Bancus. The User should review, within the Bancus platform, the costs, commissions, minimum balances, requirements and conditions applicable before requesting, activating or using any card, wallet, balance movement or related service.
Redemptions may be rejected, fail, be delayed or not be processed when the corresponding fund lacks a sufficient balance, or for operational, technical, regulatory, tax, security, compliance, system-availability or other causes that prevent the operation from completing. In such cases the redemption is considered incomplete and the YOYO$ remain in the User’s wallet or balance, without any conversion, card credit, conversion charge, or cost associated with the uncompleted operation. Global YO is not responsible for delays, failures, rejections, charges, blocks, limitations, unavailability or any other incident attributable to Bancus, Visa, issuers, BIN sponsors, banks or any third party involved in the operation of the wallet, the Visa card, the Bancus account or related services. The temporary inability to process a redemption, or any delay, suspension, rejection or failure, does not give the User any right to compensation, indemnity, bonus or additional benefit.
YOYO$ do not expire by the mere passage of time, provided the User completes at least one YOYO$-earning transaction per calendar year and the User’s account remains active, accessible and in compliance with the applicable Global YO conditions, consistent with the general Global YO Terms & Conditions. The fact that YOYO$ do not expire by time alone does not mean the Bancus redemption functionality will be available indefinitely, nor that YOYO$ may be redeemed at any time. If the User loses access to the account, or the account is canceled, blocked, deleted or becomes unavailable for any reason, the information associated with that account, including the YOYO$ balance or history, may cease to be available under the general Global YO Terms & Conditions.
Global YO is responsible only for the operation of the YOYO$ loyalty program within its platform, including display of the YOYO$ balance, enabling the redemption options available to Users, verifying eligibility under these Supplemental Terms, and, where applicable, returning YOYO$ when a redemption fails or is rejected before completion. Bancus is responsible for the services it administers within its platform, including the User’s account, wallet and Visa card, the balance, conversion, internal movements, charges, PIN, blocks, replacements, fees, transfers within Bancus, card use, unrecognized charges, payment declines, and financial claims relating to those services.
The User acknowledges that, by creating a Bancus account and using Bancus services, the User is subject to Bancus’s terms and conditions, policies, privacy notice and fees. Global YO does not administer or control the services operated by Bancus, Visa, the issuing entity, the BIN sponsor, processors, payment networks, merchants, banks, technology providers or other participants. Nothing in these Supplemental Terms limits any rights the User may have under applicable consumer-protection, data-protection or financial-services law.
The User has 30 calendar days to report any incident relating to a redemption, counted from the date the operation appears as approved, rejected, failed or completed, as applicable. Incidents relating to the card, Bancus account, Bancus wallet, balance, conversion, charges, movements, blocks, fees, transactions or crediting to the card are handled directly by Bancus through its official channels. Global YO may provide initial guidance only on matters relating to its platform, including the redemption interface, User eligibility, status display, the linked wallet, or the return of YOYO$ when a redemption is rejected or fails before completion.
The User must use the redemption functionality lawfully, personally, and in accordance with these Supplemental Terms. The functionality is intended exclusively for the personal use of the User who holds the Global YO account and the Bancus account. It may not be used for unauthorized commercial purposes, transfer of benefits to third parties, triangulation of operations, balance manipulation, simulation of activity, fraud, money laundering, illicit financing, or any other use contrary to law or to these Supplemental Terms. Global YO may suspend, limit, cancel or block a User’s access to the functionality where it detects or has reasonable indications of misuse, fraud, abuse, breach, operational inconsistencies, a requirement of authority, or any conduct contrary to these Supplemental Terms or the general Global YO Terms & Conditions.
Global YO may modify, update, limit, suspend or cancel, in whole or in part, the YOYO$ benefits program, the Bancus redemption functionality, the eligibility requirements, redemption minimums, operational limits, promotional ratios, benefits, processes, statuses, conditions of use, availability or any other element related to the functionality, for commercial, technical, operational, legal, regulatory, tax, sustainability, or Bancus/Visa/BIN-sponsor reasons, or changes in Global YO’s commercial or operational strategy. Redemptions that have been processed successfully are governed by the conditions applicable at the time of processing. Global YO will inform Users of changes through the platform and official communication channels.
The User is responsible for reviewing and complying, where applicable, with any tax obligations arising from use of the functionality and the receipt, redemption or use of the associated benefits. Tax treatment may depend on the User’s particular circumstances, including tax residence, amount redeemed, frequency of use, and applicable law. Global YO does not provide tax, financial, accounting, legal or investment advice, and use of the functionality must not be interpreted as any such recommendation, advice or guarantee.
For questions, clarifications or incidents relating to YOYO$, eligibility, redemption display, operation statuses within the Global YO platform, the linked wallet, or the return of YOYO$ for failed or rejected redemptions before completion, the User should contact Global YO support at [email protected]. For matters relating to the Bancus platform, account, card, balance, payments, charges, PIN, blocks, replacements, fees, movements, internal transfers, conversion, transactions or claims linked to the Visa card, the User should contact Bancus directly at [email protected].
Global YO’s processing of personal data is carried out under the Global YO Privacy Policy; Bancus’s processing is carried out under Bancus’s privacy notice. By using the functionality, the User acknowledges that certain technical or operational data, such as the linked wallet address, an amount, a unique transaction identifier, a User reference, and the redemption history, will be processed and shared with Bancus to enable the operation, traceability, security, fraud prevention and support. Global YO does not receive from Bancus the User’s account-holder identity, KYC status, card number or transaction history; Bancus does not receive from Global YO the User’s Global YO usage data, plan details or YOYO$ earning history. Privacy questions about the card, wallet, KYC or transactions should be directed to Bancus.
These Supplemental Terms, and any dispute arising out of or in connection with them, are governed by and construed under the laws of the United States and the State of New York, and, consistent with the general Global YO Terms & Conditions, any claim, action or dispute between the User and Global YO shall be resolved exclusively in the United States District Courts for the Southern and Eastern Districts of New York. Any legal proceeding shall be conducted only on an individual basis and not as part of a class or representative action, consistent with the class-action waiver in the general Global YO Terms & Conditions. Claims and disputes concerning the Bancus wallet, the Visa card, and other services administered by Bancus are handled under Bancus’s terms and channels.
By using the functionality, the User fully and expressly accepts these Supplemental Terms, together with the general Global YO Terms & Conditions and Privacy Policy, and acknowledges that using the functionality requires complying with the terms and conditions, policies, fees and privacy notice of Bancus.
