YOVERSE INC. (“Global YO”, “YOVERSE”, “we”, “us”), a subsidiary of Yonder Media Mobile Inc., with address at 749 E 135th St, Bronx, NY 10454, USA, provides the Global YO website, mobile application and services. These Terms & Conditions govern your access to and use of the Global YO website, mobile application and services (together, the “Services”). By accessing or using the Services, or purchasing any Global YO product, you expressly accept these Terms & Conditions and the Global YO Privacy Policy, and you confirm that you have the legal capacity to enter into this agreement.
Global YO’s goal is to help people connect through better communication and data access. We provide the products and services offered on the website and mobile application, which may change over time.
1.1 Telephone and data services
Telephone and data services offered through the website or mobile application may be provided by a third party (the “Provider”). You may choose and purchase the data package that best suits you from the options offered, which may vary in amount, data volume and region. After you select a subscription, package and region, you will receive a QR code and instructions to activate service. If the instructions are not followed correctly, Global YO is not responsible for the purchase. These services are subject to the Provider’s fees and terms. The available network mode (3G, 4G or 5G) and connection speed depend on third-party coverage, network congestion and local infrastructure.
1.2 Events, promotions and other services
Any raffles, contests, surveys, games or similar promotions available through the Services are governed by their own rules, which are independent of these Terms. If you take part in a promotion, review its specific rules. If those rules conflict with these Terms, the promotion rules control for that promotion.
1.3 Changes to the services
Global YO may modify the products, promotions, content and services offered, or suspend them temporarily or permanently. We will give reasonable advance notice of material changes through the website, the mobile application, or direct notice, and you may stop using the Services if you do not agree. You are responsible for reviewing the current products, promotions and packages that interest you.
1.4 Eligibility and age
To purchase products, make payments, or use paid Services, you must be at least 18 years old and have legal capacity to contract. Users between 13 and 17 years old may use non-paid features only with the verifiable consent of a parent or legal guardian, and may not purchase, make payments, or use the YOYO$ redemption functionality. Global YO does not knowingly collect personal information from children under 13.
1.5 YOYO$ rewards program
Global YO operates a rewards program known as “YOYO$”. YOYO$ are promotional loyalty points that Users may earn and redeem for eligible goods and services offered on the website, the mobile application, and through participating partners. Global YO may modify the policies governing YOYO$, including earning rates, redemption rules and exchange references, at its discretion, communicated through official channels.
Nature of YOYO$. YOYO$ are promotional loyalty points only. They are not legal tender, electronic money, a stored-value instrument, a financial product, a virtual asset, a crypto-asset, an investment, credit, or any kind of financial instrument, and they have no monetary value of their own outside the Global YO ecosystem. Any value shown in connection with a redemption is an estimated promotional value, not a guaranteed conversion rate.
Expiration. YOYO$ do not expire by the mere passage of time, provided you complete at least one YOYO$-earning transaction per calendar year and your account remains active and in good standing. We will give advance notice of any change to this policy through official channels.
Redemption with Bancus. Eligible Users may redeem YOYO$ for promotional value through a functionality operated in collaboration with Bancus. That functionality is governed by Section 17 below, which controls over this Section on matters concerning that redemption.
By purchasing or using any paid Service, you agree to pay all amounts due, including applicable fees, taxes and assessments for the region you selected, and to comply with the rules and restrictions applicable to the availability of rates, products or services.
2.1 Financial responsibility and refunds
You are responsible for all charges, whether one-time or recurring, until you cancel or change the subscription. Except where a refund is required by applicable consumer-protection law or by the rules of the app store through which you purchased, purchases are generally non-refundable once the product is delivered. You are responsible for use of the Services under your account, including by others you allow to use it.
2.2 Prices
Global YO may change prices and run promotions. Promotions, discounts and offers are not retroactive and apply only at the time of the corresponding purchase and within the times set by the promotion.
2.3 Use of YOYO$ as payment
Where permitted, YOYO$ may be used as a method of payment for up to 100% of the purchase amount for applicable products or services, subject to a sufficient YOYO$ balance and to conditions that may be updated from time to time. This use is a promotional redemption within the Global YO ecosystem and does not give YOYO$ monetary value outside it.
Global YO may accept or reject any purchase request, and may suspend the Services of any User who fails to comply with these Terms or our internal policies, or who engages in unlawful activity. You may delete your account at any time by contacting us, after which we will delete the information stored in our databases, subject to any retention required by law.
4.1 Account
To purchase a package you must register and create an account, expressly accepting the Global YO Privacy Policy. You must provide personal data such as full name, gender, date of birth, current address, email address and mobile number, and access credentials (username and password). You agree to provide accurate and complete information, keep it updated, safeguard your credentials, not allow use of the Services by minors or third parties except as permitted in Section 1.4, and comply with applicable law. You are responsible for any use or misuse of your account or password and must notify us immediately of any unauthorized use.
4.2 Account access
You may access your account on different devices, but the purchased data and media can be used on only one device at a time. If you are connected on more than one device, you will be notified and service will transfer to the device in use.
4.3 Privacy
We maintain, protect and use your information in accordance with the Global YO Privacy Policy. We may retain, use, share and access information about you where we believe in good faith that the law requires or permits it.
By accepting these Terms, you authorize Global YO to send you notifications about the products or services you use, which you may cancel at any time. Notifications may be sent through the website, the mobile application, push notifications, or SMS to the number on your account.
If you selected a recurring package and do not meet your payment obligations on the due date, Global YO may suspend the Services until the outstanding amount is paid in full. Subscriptions may be canceled or changed by contacting us; you will receive confirmation of an effective cancellation. If you do not receive confirmation, the cancellation may not be effective and charges may continue. After cancellation, you will not receive further Services.
To use the Services, you must use a supported and compatible device and a stable internet connection. Coverage, service area and quality may vary and change without notice, depending on factors including network capacity, terrain and weather. Global YO is not responsible for problems relating to the availability or quality of the Services caused by factors beyond its reasonable control.
7.1 Content
Global YO does not pre-screen or control content provided by third parties and is not responsible for it. Opinions, advice, statements, services and offers made available by third parties are those of their authors. Global YO may remove or modify content that does not comply with applicable standards or these Terms.
7.2 Acceptable use
Global YO may block access to, or remove, any information or material that in its reasonable judgment is abusive, defamatory, obscene, fraudulent, misleading, infringing, offensive, or otherwise in breach of these Terms. Activities you carry out through the Services, such as purchases or interactions with third parties, are your responsibility and that of the third party involved.
All trademarks, logos and designs are owned by Global YO, and you may not use, exploit, reproduce or copy them without consent. If you believe content on our platforms infringes your copyright, you may notify our legal department with the information required to identify the work, the allegedly infringing material and its location, your contact details, a good-faith statement, a statement of accuracy under penalty of perjury, and your signature. Notices may be sent to the contact address in these Terms or by email to the address published on our website.
Global YO may have sponsors and advertisers whose information, images and advertisements may appear on the website or mobile application. This advertising material is not part of the Services’ content and is the responsibility of the relevant supplier, to whom you should direct any concern about it.
Global YO and its affiliates, and their officers, directors, agents and employees, are not liable for breakdowns, failures, delays or difficulties in devices, networks or software used to access the Services, nor for lost, delayed or corrupted communications, nor for inaccurate information entered by users. Nothing in these Terms limits liability that cannot be limited under applicable law.
The Services may contain links to, and integrations with, third-party content and services. Global YO does not operate, control or endorse third-party services and is not responsible for any loss or damage arising from their use. Your use of third-party links and integrations is at your own risk and subject to those third parties’ terms.
No general or specific condition you communicate may be incorporated into these Terms. Global YO’s failure to exercise a right or action under these Terms is not a waiver. Global YO may assign all or part of its rights and obligations, subject to the authorizations of the competent authorities.
Global YO applies appropriate technical and organizational measures to protect your data, which may include encryption and pseudonymization, and works to ensure the confidentiality, integrity and resilience of your data.
Global YO is not liable for any loss caused directly or indirectly by extraordinary events or conditions beyond its reasonable control, including governmental actions, market decisions, and applicable trading suspensions.
Global YO may update these Terms from time to time. For material changes, we will give reasonable advance notice through the website, the mobile application, or by email to the address on your account, and the changes take effect on the date stated in the notice. For non-material changes, the updated Terms take effect when posted. Your continued use of the Services after the effective date constitutes acceptance. We recommend that you keep a copy of these Terms and review them periodically. If you do not agree with a change, your remedy is to stop using the Services.
These Terms are governed by the laws of the United States and the State of New York, and, except as required otherwise by applicable law, any dispute between you and Global YO will be resolved exclusively in the United States District Courts for the Southern and Eastern Districts of New York. Any proceeding will be conducted only on an individual basis and not as part of a class or representative action. Nothing in this Section deprives you of the protection of mandatory consumer-law rights available to you in your country of residence.
Overview. Global YO, in collaboration with Bancus (the operator of the Bancus platform), offers eligible Users an optional functionality to redeem YOYO$ for promotional value loaded onto a Visa card administered by Bancus. This Section controls over the rest of these Terms on matters concerning the redemption functionality. The collaboration does not mean Global YO issues cards, manages balances, provides financial services, performs identity verification (KYC), processes card payments, holds User funds, or controls the User’s Bancus account. Those services are operated by Bancus and related third parties under their own terms.
17.1 How it works
A User transfers YOYO$ from the Global YO application to a wallet the User creates on the Bancus platform, and then, within the Bancus environment, requests that those YOYO$ be converted into the applicable promotional value on the assigned Visa card. A redemption is complete only when the YOYO$ have been converted within the Bancus environment and the value is reflected on the card. The initial transfer to the Bancus wallet is not, by itself, a completed redemption.
17.2 Nature of YOYO$ and roles
For the avoidance of doubt, the nature of YOYO$ described in Section 1.5 applies to this functionality: YOYO$ are promotional loyalty points with no monetary value outside the Global YO ecosystem. Global YO operates the loyalty program and the redemption interface. Bancus is the allied financial-services provider responsible for the wallet, card, balance, identity verification (KYC), conversion, and related services. The Visa card is provided through a third-party card-program sponsor (BIN sponsor). Global YO does not act as a bank, money transmitter, card issuer, electronic-money institution, custodian of virtual assets, or financial intermediary.
17.3 Eligibility
To use the functionality, a User must have at least two qualifying purchases over the life of the account, at least US$15 in combined lifetime spend, and at least one qualifying purchase within the trailing six months. Qualifying purchases include eSIM data plans, YO SHOUT credits, and, when available, VPN subscriptions, travel bookings and travel insurance. Eligibility pauses if there is no qualifying purchase in the trailing six months and restores automatically on the next one. Meeting the criteria does not guarantee that a redemption will be approved. The functionality is available only to Users who are 18 years of age or older.
17.4 Availability, sanctions and compliance
The functionality is available only to eligible Users in jurisdictions where Global YO has made it available and where its use is lawful. It is not available to any person, or in any territory, that is subject to United States sanctions, or where the functionality would otherwise be unlawful. Global YO may add or remove eligible jurisdictions at any time. You are responsible for ensuring your use complies with the laws that apply to you.
17.5 Redemption, limits and irreversibility
A User requests redemptions from the Global YO platform. A minimum per-redemption amount applies (currently 1,000 YOYO$), along with per-transfer and periodic maximum limits, and requests may be reviewed, delayed or rejected. Global YO may set and change these limits and review criteria at its discretion. Reserved YOYO$ are returned to the User’s balance if a request is rejected or fails before completion. Once a redemption is complete, it is final and cannot be reversed, and the User must handle any matter concerning the card balance directly with Bancus.
17.6 The Bancus Visa card
The Visa card is denominated in US dollars (USD), unless Bancus, the issuer or the BIN sponsor establishes otherwise. When the card is used in a currency other than USD, the Visa network converts USD into the local currency at the point of sale, at a rate set by Visa at that time. The digital card has no issuance cost and requires a minimum wallet balance of US$10 to enable; physical cards are available from Bancus at a cost. Bancus determines and administers all card operations, including issuance, activation, limits, balances, blocks, replacements, fees and transactions.
17.7 Fees and conversion
Global YO charges no fee for using the functionality. Bancus applies a processing fee of 4% on moving value from the wallet to the card. Three sequential conversions may apply: (1) YOYO$ to Bancus-wallet value at the prevailing promotional ratio set by Global YO; (2) the Bancus 4% fee plus a YOYO$-to-USD conversion at Bancus’s rate; and (3) Visa’s USD-to-local conversion at the point of sale. The estimated value shown before you confirm already reflects the Global YO promotional ratio; the other steps occur downstream.
17.8 Failures, tax, support and privacy
Redemptions may be rejected, fail or be delayed for insufficient fund balance or for operational, technical, regulatory, security or compliance reasons, without any right to compensation. You are responsible for any tax obligations arising from use of the functionality; Global YO does not provide tax, financial or legal advice. For YOYO$, eligibility and redemption-status questions, contact Global YO support; for the card, wallet, balance and transactions, contact Bancus. By using the functionality, you acknowledge that your linked wallet address, redemption amounts and a transaction reference are shared with Bancus to enable the operation, as described in the Global YO Privacy Policy, and that your financial relationship for the card is with Bancus under its terms and privacy notice.
